We are recruiting for a Senior Associate to join our Banking, Restructuring and Insolvency team. The successful hire will play a key role in our growing transactional and advisory restructuring and insolvency team, including in relation to our specialism in the sale and acquisition of loan portfolios. This is a fully flexible working role, offered on a full or part-time basis.

 
Your Role

This is an exciting opportunity to work within a well-established and flourishing restructuring and insolvency team, led by James Forsyth.

The role would involve predominantly (but not exclusively) non-contentious, transactional and advisory work, including loan portfolio sales and acquisitions, but also the full spectrum of corporate restructuring and insolvency matters, ranging from debt restructurings to business sales and purchases. The successful applicant will also have opportunities to work on contentious matters with key clients.  We would however consider all applicants with suitable experience of loan portfolio sales and acquisitions, even if the applicant has no prior restructuring or insolvency experience.

The team has developed a thriving loan portfolio transactions specialism which has an impressive breadth and quality of clients.  It has also created a strong and sustainable platform for winning and resourcing high quality, mid-market corporate restructuring and insolvency work on a repeat basis from private equity funds, corporates, banks, insolvency practitioners and turnaround professionals.  They have also played a number of key roles on restructurings and insolvencies of national significance.  

The R&I team has offices across the UK and we would discuss with the successful applicant the location and working approach that would meet their needs. 

 

Your Skills and Experience

You must be/have:

  • a Qualified Solicitor (SRA or Law Society Registered), with the ability to work independently with limited supervision;
  • able to manage challenging transactional and advisory corporate restructuring and insolvency work;
  • prior qualified legal experience in a similar legal setting with a non-contentious or mixed caseload background, including ideally experience in loan portfolio sales and acquisitions.  As noted above, we would consider all candidates with suitable experience of loan portfolio sales and acquisitions, even if the candidate has no prior restructuring or insolvency experience;
  • able to contribute to our collaborative culture, with an ambition to assist in the development of junior team members;
  • a forward thinker, with excellent analytical, communication and organisational skills, you will be self-motivated with the ability to manage workloads and deadlines;
  • commercially aware with some exposure to business development, with the ability to maintain and nurture strong client relationships;
  • able to develop a deep understanding of your clients’ business needs, and act in the best interest of the firm and the client.

 

Your Team

Our R&I team operates from offices across the UK, providing tactical, commercially minded services across all aspects of restructuring and insolvency. We act for a broad range of debt funders and have positions on the general lending panels of nearly all the high street lenders. In addition, we act for a wide spectrum of corporate borrowers in all of our key sectors in the investment and non-investment grade spaces.

We provide clear commercial advice on all areas of restructuring and insolvency law. With broad and deep expertise in restructuring and insolvency and a specialism in the sale and acquisition of loan portfolios, we act for everyone from corporates and their boards to banks and government agencies. From large restructurings, workouts and formal insolvencies, to acting for individual creditors and assisting stakeholders, we’re ready when clients need us.

In relation to our specialism in the sale and acquisition of loan portfolios, the team acts for both buyers and sellers, and deals with all aspects of loan portfolio deals, from drafting and negotiating the sale agreement and ancillary documents to carrying out due diligence.  The team acts for clearing banks, challenger banks, specialist lenders, building societies, funds, traditional debt acquirers and loan servicers.  We have experience in the sale and acquisition of all debt types – secured / unsecured, performing / non-performing, consumer / commercial, and regulated / unregulated.  The practice is growing strongly and is a priority service line within our Financial Services sector.

Examples of loan portfolio deals completed by the team include:

  • the sale of a c.£180m portfolio of residential mortgages by a specialist lender to a building society;
  • the merger of Newcastle and Manchester Building Societies, being the first of this type for a number of years;
  • the sale of the entire c.£100m mortgage portfolio of Bank and Clients PLC to Tandem Bank;
  • the £50m acquisition of specialist buy-to-let lender Fleet Mortgages by Starling Bank;
  • the FSMA Part VII banking business transfer for Triodos Bank;
  • the £20m sale of a portfolio of lifetime mortgages by a clearing bank to a life insurance company;
  • a number of acquisitions of portfolios of shared equity mortgages for an American hedge fund.
