We are looking for an experienced Project Worker Company Secretary to join our client on a fixed-term contract basis for 6 months, supporting an ongoing programme of work.

The successful candidate will be based in South Africa and will work on a hybrid basis. 

The Role

  • Provide comprehensive end-to-end governance support to the Board and senior stakeholders on legal, regulatory and governance matters at both strategic and operational levels.
  • Ensure compliance with applicable legal and regulatory requirements and support the maintenance of high standards of corporate governance.
  • Coordinate and administer Board and committee meetings, including the preparation of agendas, board papers, meeting materials, minutes and action logs.
  • Support the planning and delivery of Annual General Meetings (AGMs) and Annual Reporting requirements.
  • Manage share capital administration and related activities, including supporting share transfers, allotments and other capital-related transactions.
  • Maintain statutory registers, corporate records and governance documentation, ensuring all statutory filings are completed accurately and within relevant deadlines.
  • Collate, prepare and manage information, reports and documentation for Board members and senior stakeholders.
  • Support wider governance, compliance and company secretarial activities as required, including identity verification, data room management and MAR compliance.
  • Contribute to the continuous improvement of governance processes, controls and ways of working to enhance efficiency and effectiveness.
  • Effectively utilise governance technologies and digital tools to support the delivery of governance and company secretarial services, identify opportunities for innovation and promote best practice.

Requirements

  • Significant experience working within a legal, corporate governance or company secretarial environment.
  • Experience supporting Boards and senior stakeholders, including attendance at Board and committee meetings.
  • Strong commercial, corporate and company secretarial knowledge.
  • A sound understanding of relevant corporate, governance and regulatory requirements.
  • Experience of share capital administration and corporate record management.
  • Excellent organisational, communication and stakeholder management skills, with the ability to build effective relationships at all levels.
  • Strong attention to detail and the ability to manage multiple priorities and deadlines.
  • A proactive approach to problem-solving, process improvement and continuous development.
  • Confidence in using governance technologies and digital tools to support efficient governance delivery.
  • Professional company secretarial qualification is desirable but not essential. Candidates with relevant practical experience are encouraged to apply.
